These Terms of Service (the "Terms") govern access to and use of the Rasam website, mobile application, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, each user agrees to be bound by these Terms. If a user does not agree to these Terms, that user must not use the Service.
About Rasam
Rasam is a wedding planning platform designed to help couples plan weddings and related events, connect with vendors, manage tasks, organize information, and use digital tools that may include automation, recommendations, and AI-enabled features. Rasam may also offer vendor-facing tools for business profiles, inquiries, scheduling, analytics, and marketplace participation.
The Service is operated by The Rasam Group Inc., a corporation incorporated in Ontario, Canada, with its principal place of business located in Ontario, Canada.
Eligibility
Users may use the Service only if they can form a legally binding agreement under applicable law. By using the Service, each user represents that:
The user is at least the age of majority in the user’s place of residence, or otherwise has valid parental or legal guardian consent where permitted.
The information submitted to Rasam is accurate and current.
The user will comply with these Terms and all applicable laws.
Rasam may refuse access to, suspend, or terminate any account that does not meet these requirements.
Accounts and Registration
To access certain features, users may need to create an account. Users are responsible for maintaining the confidentiality of account credentials and for all activity under their accounts. Users must promptly notify Rasam of any suspected unauthorized access or security incident.
Rasam may require identity, business, payment, or contact verification for some features, especially vendor marketplace features. Rasam may suspend access until requested verification is completed.
Couples and Event Planning Use
Couples and other planning users may use the Service to organize weddings and related events, manage guests, budgets, timelines, inspiration, communications, and vendor interactions. Users are solely responsible for their own event decisions, guest management, budgets, invitations, contracts, and communications.
Rasam does not guarantee the success, legality, suitability, availability, or outcome of any wedding, event, booking, or vendor relationship.
Vendors and Marketplace Participation
Vendors may be permitted to create listings, advertise services, receive inquiries, schedule consultations, offer products or packages, and engage with couples through the Service. Each vendor is solely responsible for:
The accuracy of listings, pricing, availability, credentials, and service descriptions.
Obtaining and maintaining all licenses, permits, insurance, and approvals required for the vendor’s business.
Complying with consumer protection, tax, privacy, advertising, employment, accessibility, and other applicable laws.
Performing services in accordance with the vendor’s own agreements, policies, and representations.
Rasam may remove, limit, rank, moderate, suspend, or reject vendor listings at its discretion.
Marketplace Role and Third-Party Relationships
Unless expressly stated otherwise in a separate written agreement, Rasam is a technology platform and is not a party to contracts entered into between couples and vendors. Rasam does not employ, control, endorse, warrant, or guarantee any vendor, user, venue, or third-party provider.
Any agreement for wedding services, products, rentals, or event-related performance is between the user and the applicable vendor or provider. Users are responsible for reviewing all pricing, cancellation terms, service details, insurance coverage, and written contracts before making commitments.
Payments, Fees, and Refunds
Some features of the Service may be free, while others may require payment of subscription fees, transaction fees, lead fees, commissions, deposits, or other charges. By purchasing a paid feature, the user authorizes Rasam and its payment processors to charge the applicable payment method.
Unless otherwise stated:
Fees are quoted in the stated currency and may exclude applicable taxes.
Fees are non-refundable except where required by law or expressly stated in writing.
Vendor service refunds, cancellations, chargebacks, and disputes are governed by the applicable vendor agreement unless Rasam expressly states otherwise.
App store operators or third-party payment processors may impose additional terms.
Rasam may change pricing or introduce new fees with prospective notice where required.
AI Features and Automated Recommendations
The Service may include AI-enabled tools, automated recommendations, ranking systems, summaries, generated content, or workflow suggestions. These features are provided for general informational and productivity purposes only.
AI outputs may be incomplete, inaccurate, biased, out of date, or unsuitable for a user’s specific circumstances. Users must independently review important information and should not rely on AI outputs as legal, financial, tax, insurance, safety, medical, or other professional advice.
Rasam may improve, modify, limit, or disable AI features at any time.
User Content
Users may submit or upload content such as profile information, messages, reviews, listings, contracts, images, videos, event details, guest information, and other materials ("User Content"). Each user retains ownership of that user’s User Content, subject to the rights granted in these Terms.
By submitting User Content, the user grants Rasam a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise use the User Content as necessary to operate, improve, market, secure, and provide the Service.
Each user represents that the user has all rights necessary to submit the User Content and that the User Content does not violate any law or third-party right.
Reviews, Ratings, and Platform Signals
Rasam may display reviews, ratings, badges, recommendations, response times, profile completion indicators, reliability scores, or other signals derived from user activity, submitted information, or internal methodologies. These signals are informational only and do not guarantee quality, safety, availability, or results.
Rasam may decide how such signals are calculated, displayed, weighted, limited, or removed. Rasam is not obligated to disclose the full methodology behind any ranking, recommendation, or scoring feature.
Prohibited Conduct
Users must not, and must not attempt to:
Violate any applicable law or regulation.
Post false, misleading, defamatory, infringing, abusive, hateful, discriminatory, harassing, or fraudulent content.
Impersonate any person or entity or misrepresent affiliation, qualifications, pricing, or availability.
Scrape, crawl, copy, index, frame, mirror, or data-mine the Service without authorization.
Interfere with security features or the proper functioning of the Service.
Upload malware, malicious code, or harmful content.
Reverse engineer, decompile, disassemble, or attempt to derive source code except where prohibited by law.
Use the Service to spam, manipulate rankings, generate fake leads, solicit outside prohibited transactions, or evade fees.
Collect or misuse another person’s personal information without lawful basis.
Intellectual Property
The Service, including all software, text, graphics, logos, designs, workflows, compilations, trademarks, service marks, and platform content other than User Content, is owned by Rasam or its licensors and is protected by intellectual property laws.
Subject to these Terms, Rasam grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. No user may copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service except as expressly permitted in writing.
Privacy
Use of the Service is also subject to the Rasam Privacy Policy, which describes how personal information is collected, used, disclosed, and safeguarded. By using the Service, the user acknowledges that Rasam may process personal information in accordance with the Privacy Policy and applicable law.
Rasam does not sell users' personal information or user data. Any sharing of personal information, if applicable, will be limited to what is necessary to operate, maintain, improve, secure, and provide the Service, comply with legal obligations, process transactions, or work with service providers acting on Rasam's behalf, as described in the Privacy Policy.
Users are responsible for obtaining any consents required to share guest, client, employee, or third-party information with Rasam.
Third-Party Services
The Service may integrate with or link to third-party services, including payment processors, calendars, maps, app stores, communication tools, analytics providers, and social platforms. Rasam is not responsible for third-party services, content, policies, uptime, or security.
Use of third-party services may be subject to separate terms and privacy policies between the user and the applicable third party.
Service Availability and Changes
Rasam may modify, suspend, discontinue, or restrict any part of the Service at any time, with or without notice. Rasam does not guarantee that the Service will always be available, uninterrupted, secure, error-free, or compatible with every device or jurisdiction.
Rasam may release updates, patches, upgrades, or changes that alter how features work. Continued use of the Service after changes become effective constitutes acceptance of those changes.
Termination and Suspension
Rasam may suspend, limit, or terminate access to the Service immediately if Rasam believes a user has violated these Terms, created legal risk, engaged in fraud, harmed other users, or misused the platform.
Users may stop using the Service at any time and may request account deletion subject to applicable retention, fraud prevention, backup, tax, and legal compliance requirements.
Sections that by their nature should survive termination will survive, including provisions relating to payments owed, intellectual property, disclaimers, limitations of liability, disputes, and indemnification.
Disclaimers
The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. Rasam disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
Without limiting the foregoing, Rasam does not warrant that:
The Service will meet any user’s requirements.
Any vendor, customer, booking, lead, inquiry, or event will result in a successful transaction or outcome.
Any information, recommendation, score, or AI-generated output will be accurate or reliable.
The Service will be uninterrupted, timely, secure, or error-free.
Limitation of Liability
To the fullest extent permitted by law, Rasam and its affiliates, officers, directors, employees, contractors, licensors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, business opportunities, or event-related losses, arising out of or relating to the Service.
To the fullest extent permitted by law, Rasam’s aggregate liability for all claims arising out of or relating to the Service will not exceed the greater of:
The total amount paid by the claimant to Rasam in the twelve months before the event giving rise to the claim; or
One hundred Canadian dollars (CAD 100).
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to certain users.
Indemnification
Each user agrees to defend, indemnify, and hold harmless Rasam and its affiliates, officers, directors, employees, contractors, licensors, and partners from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
The user’s access to or use of the Service.
The user’s User Content.
The user’s breach of these Terms.
The user’s violation of any law or third-party right.
Any dispute between the user and another user, vendor, customer, guest, venue, or third party.
Governing Law and Disputes
These Terms will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Ontario, Canada, unless Rasam requires or offers arbitration in a separate written policy or agreement.
To the extent permitted by law, users waive any right to participate in class actions or class-wide arbitration against Rasam unless Rasam expressly agrees otherwise in writing.
Changes to These Terms
Rasam may update these Terms from time to time. When material changes are made, Rasam may provide notice by updating the date at the top of the Terms, posting notice through the Service, or sending other communications where appropriate.
The updated Terms become effective when posted or on the date stated in the updated Terms. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
Rasam’s failure to enforce any provision is not a waiver of its right to do so later.
These Terms, together with any policies or supplemental terms referenced by Rasam, form the entire agreement between Rasam and the user regarding the Service.
Users may not assign these Terms without Rasam’s prior written consent. Rasam may assign these Terms as part of a merger, acquisition, restructuring, or asset sale.
